Family Organization Bylaws

WE, THE UNDERSIGNED, natural persons of the age of twenty-one (21) or more, acting as incorporates of a corporations under the Utah Non-Profit Corporation and Cooperative Association Act, adopt the following Articles of Incorporation.



Article I. The Name of the corporation shall be "MOSES CLAWSON FAMILY ORGANIZATION."



Article II. The Purposes and Objectives shall be as follows:



To Complete an Acceptable and True Record of Our Progenitors and Descendants.

To Maintain and Foster Love, Unity, and Friendship Among All Members.

To Acquaint Our Members with the Heritage that has come to them and to Encourage them to Pass on an Even Greater Heritage.

To Prepare and Preserve Interesting and Accurate Histories of Our Ancestors and Living Members.

To Organize and Centralize Our Work so as to Prevent Duplication of Effort.



Article III. The Executive Board of the Organization shall consist of these Elected Officers: President, First Vice-President, Second Vice-President, Secretary, and these Appointed Officers: Treasurer, Genealogist, Historian, Editor of the Family Newsletter.



Article IV. The Family Representative Board of the Organization shall consist of the Executive Board and a Representative, if available, of the descendants of each child of Moses Clawson for their Branch.



Article V. A Reunion shall be held in the summer of each even numbered year.



Article VI. Membership in the Moses Clawson Family Organization is open to all descendants of Moses Clawson and any other interested persons who wish to join.



Article VII. The term of the Organization shall be perpetual.



Article VIII. These Articles and Bylaws and subsequent amendments may be amended by majority vote of family members at any Moses Clawson Family Reunion. The Executive Board, the Family Representative Board or individual family members, may propose amendments.



Article IX. The primary state of business shall be Utah.



Article X. The organization shall be a NON-PROFIT Corporation.



Article XI. The Incorporating Officers are:

Lawrence A. Clawson, Treasurer

Erminie Clawson West, Secretary



Article XII. The Trustees constituting the initial Executive board are: G. Neil Clawson, Rodney E. Clawson, Neil R. Clawson, Lawrence A. Clawson, and Erminie Clawson West. The addresses: as listed above.



Article XIII. The name and address of the Agent of Record is: G. Neil Clawson

MCFO Bylaws

June 10, 2000



Section 1. It shall be the duty of the President to preside at all meetings of this organization including Reunions, the Executive Board and the Family Representatives Board.



Section 2. It shall be the duty of the Vice Presidents to assist and counsel the President in all matters and to act as President if the President is unable or unwilling to preside. Order of seniority of Vice Presidents shall be followed in assuming responsibilities. The term of office will be two years as Second Vice President, two years as First Vice President, and two years as President.



Section 3. The Secretary shall keep a complete and accurate record of the proceedings of all meetings of this organization. The Secretary is elected to a two-year term.



Section 4. The Treasurer shall receive and keep an accurate account of all dues, contributions, and other receipts. The Treasurer shall make a financial report at the annual meeting of the Family Representative Board and at the Reunion.



Section 5. The Executive Board shall appoint the Genealogist, Treasurer, Historian, Membership Chairman and other Officers and Committees as needed.



Section 6. At least three months prior to each reunion, the President shall appoint a nominating committee of at least five members and this committee shall select and place in nomination at the reunion; a Second Vice President and a Secretary. The nominating committee will secure in writing affirmation of their willingness to serve.



Section 7. It shall be the duty of the officers of this organization to provide leadership in achieving the purposes and objectives of the organization. This organization shall maintain a current list of all living descendants of Moses Clawson as accurately as possible.



Section 8. The Family Representative Board shall meet at least annually, and the Executive Board shall meet at least quarterly. The President may call additional meetings of the Boards as needed. Each branch family organization shall be encouraged to hold their own reunions either in conjunction with the Moses Clawson Family Reunions or at some other time.



Section 9. All matters brought before the Family Representative Board shall be decided by a majority vote of the members present regardless of the age of the member.



Section 10. All expenditures and disbursements of the organization shall be signed by two members of the Executive Board and have approval of that Board.



Section 11. The Executive Board shall determine the suggested donations for the financial operations of the Organization.



Section 12. The Organization shall publish a semi-annual newsletter This publication shall serve to keep members informed of the progress in the purposes and objectives, to inform concerning branch activities, and to encourage all members to join in support of the organization financially and spiritually as well.



Section 13. In the event that an elected officer of the Organization cannot or will not serve out his term, the remaining Executive Board members shall appoint an officer to fulfil the vacant position. This appointment would be ratified by a majority of the members present at the next biennial Family Reunion. Any officer currently serving may be nominated for and elected to the same position by the membership, if he is willing to serve, and there has not been one of the suceeding officers able to continue in the family organizational structure as stated in Section 2.



Section 14. All living descendants of Moses Clawson are rightfully members of the Organization regardless of age.
